By accessing our neural generative tools, generating artwork, rendering videos, or purchasing compute tokens, you enter into a binding agreement with NimVRAi Technologies.
1. Service Description & Eligibility
NimVRAi provides high-performance AI generative tools, including text-to-image synthesis, neural image-to-video rendering, outpainting, character consistency conditioning, and resolution upscaling services. By creating an account or accessing the Service, you represent that you are at least 13 years old (or 16 years old where required by local legislation) and possess the legal capacity to enter into this contract.
2. User Accounts & Compute Tokens
Certain advanced generative modes, video rendering pipelines, and high-priority GPU queues require an active subscription tier or compute token packages:
- Compute Tokens: Tokens represent a license to consume GPU computing capacity for rendering operations. Tokens are non-transferable and possess no cash or monetary redemption value outside of NimVRAi.
- Subscriptions & Renewals: Paid plans (e.g., Weekly, Monthly, or Annual VIP passes) renew automatically through the designated platform (Apple App Store or Google Play Store) unless cancelled at least 24 hours prior to the conclusion of the active billing cycle.
- Refund Policies: Because GPU rendering cycles incur immediate cloud processing costs, token packages and active billing cycles are generally non-refundable once consumed, except where mandated by local consumer protection statutes or platform marketplace policies.
3. Intellectual Property Rights & Commercial Licensing
We respect the commercial sovereignty of digital artists and creative directors:
- Your Inputs: You retain all proprietary rights, copyright, and ownership over the original text prompts, scripts, reference imagery, and source files you upload to NimVRAi. You warrant that you hold all requisite rights to any reference media you provide.
- Generated Image & Video Outputs: To the fullest extent permitted by applicable intellectual property law, NimVRAi conveys to you all rights, title, and interest in and to the visual assets generated via your account. You are granted full commercial rights to utilize, publish, distribute, monetize, and exhibit your generated images and videos.
- Service License: You grant NimVRAi a non-exclusive, worldwide, royalty-free license solely to host, cache, duplicate, and route your content as necessary to execute rendering calculations, store your personal creations, and provide customer support.
4. Acceptable Use Policy & Content Moderation
To foster an ethical, responsible, and secure creative ecosystem, you strictly agree NOT to use NimVRAi to generate, upload, or disseminate:
- Child sexual abuse material (CSAM) or any content exploiting, endangering, or harming minors in any manner.
- Non-consensual sexually explicit content, deepfakes, or unauthorized synthetic impersonations of real individuals without verified consent.
- Content intended to harass, defame, threaten, incite violence, or promote hate speech and discrimination against protected characteristics.
- Instructions for manufacturing weapons, explosives, hazardous chemicals, or executing cyberattacks.
- Content that knowingly infringes upon third-party trademarks, patents, trade secrets, or copyrighted works.
- Automated scrapers, bots, or reverse-engineering scripts aimed at degrading server infrastructure or extracting proprietary model weights.
NimVRAi reserves the right to terminate accounts, revoke access tokens, and report egregious violations to relevant law enforcement bodies without refund.
5. Nature of Generative AI Output & Disclaimers
Generative artificial intelligence algorithms synthesize imagery and video based on statistical patterns across vast latent spaces. Consequently:
- Outputs are inherently probabilistic. We do not guarantee that generated visuals will perfectly match your exact subjective expectations or be 100% free of visual anomalies, anatomical imperfections, or temporal artifacts.
- Due to the non-deterministic nature of deep learning, identical prompts may yield varying visual outputs across different rendering sessions.
6. Disclaimer of Warranties & Limitation of Liability
The Service is delivered on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular objective, or uninterrupted uptime.
In no event shall NimVRAi, its founders, directors, or cloud suppliers be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, creative disruption, or data loss) arising out of your utilization or inability to utilize the platform, even if advised of the possibility of such damages.
7. Termination of Service
You may discontinue your usage of NimVRAi at any time. We reserve the right to suspend or terminate your access immediately, without prior notice, in the event of a material breach of these Terms or suspected malicious behavior.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws applicable to internet software services, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through good-faith negotiation or binding arbitration.
